Constitution and By-Laws

 

Article I:  Name
The name of this organization shall be the National Performing Roller Association and will serve as a not-for-profit organization.

Article II:  Objective
To acknowledge, share, and support the diversity of all types of Performing Rollers and their breeders regardless of whether the breeder wishes to pursue competition, breed for color, or is a backyard fancier.
Also to establish a system of judging by which individual birds may be scored and certified according to individual performance.

Article III:  Membership
Membership is open to anyone interested in the Performing Roller and who can uphold this constitution and respect the purpose of this organization.

Article IV:  Dues
Dues shall be established by the NPRA Executive Board of Directors.

Article V:  Officers
The NPRA Executive Board of Directors shall consist of a President, Vice President, Secretary/Treasurer, Bulletin Editor, and any other Directors the NPRA sees fit to elect.

The NPRA President shall appoint the following Directors:  Bulletin Editor, Breed Directors, and Regional Directors as needed.  These officers shall be paid members in good standing and report issues, concerns, ideas, suggestions, etc. to the President.

Any member in good standing can be nominated for any vacant position on the Board of Directors or for any election year.  Nominees will be interviewed by the Board of Directors and a determination shall be made as to whether the individual is willing and able to serve in the position nominated for.  Upon completion of this interview the Board of Directors shall then vote as to whether the nominee will be elected onto to Board of Directors.

Article VI:  Elections
Elections shall occur on even numbered years beginning in the year 2008.  Officers will serve for two consecutive years.  Elections shall take place at the end of every odd numbered years and officers shall assume responsibility for their office starting January 1st of the following year.

Article VII:  Duties of Officers
President:
The President shall uphold this constitution, organize meetings and voting issues to be presented to the board of directors.  The President shall serve on the executive board of directors.
Vice-President:  The Vice-President shall uphold this constitution and serve on the executive board of directors.  The Vice-President shall serve as President in the event the President is unavailable or cannot serve as President.
Secretary/Treasurer:  The Secretary/Treasurer shall uphold this constitution and serve on the executive board of directors.  He/she shall keep and maintain accurate books and financial records for the association.  He/She shall provide an accurate, up-to-date financial statement for every NPRA Quarterly Bulletin.
Bulletin Editor:  The Bulletin Editor shall uphold this constitution and serve on the executive board of directors.  He/she shall publish and informative and timely bulletin to the membership according to the purpose of this association.
Breed / Regional Directors:  Any and all Regional Directors shall uphold this constitution.  Regional Directors shall promote the NPRA and be available to answer questions and provide feedback to the NPRA Board of Directors from the general membership regarding any NPRA related issue.

Article VIII:  Conflict Resolution
In the event of a conflict between members, board members, or any other person associated with the NPRA the following process will take place.  1)  Grievances must be filed in writing and sent to the President.  2)  The President will present the issue to the Executive Board of Directors for discussion.  If the Executive Board of Directors cannot agree on a fair and/or reasonable solution to the issue, 3) the final decision will rest with the President and Vice-President.

Only grievances which are related to or directly affect the purpose or running of the NPRA will be considered for resolution.  Personal problems between members is not the problem of the NPRA and its Executive Board of Directors.

Article IX:  Liability
No person, persons, or entity shall hold liable the NPRA for any damages or injuries to another person or entity.  The NPRA is not responsible for the actions of its members or officers as individuals.

Article X:  Amendments
This constitution and by-laws can be amended at any time by written notice submitted to the President.  The President will present proposed amendments to the Executive Board of Directors for review, discussion, and voting.  Any and all amendments shall only take effect with at least 2/3 majority vote by all officers on the executive board of directors.

If the constitution is amended, the previous article(s) and newly amended version will appear both on the NPRA website and in the NPRA bulletin.
